Terms of Service

Secretarius is operated by Knowledge Worker LLC. By creating an account or using the service you agree to these terms. Questions and notices go to accounts@secretarius.pro.

An account is held by an organization and managed by one or more administrators. Access is by invitation only; there is no public sign-up. The administrator is responsible for who is invited, what each person may see, keeping the roster current, and the accuracy of the record their organization keeps.

Sign-in is passwordless. You are responsible for the security of the email inbox that receives your one-time codes.

Use Secretarius for the lawful governance business of your organization. Do not attempt to reach another organization's data, probe or disrupt the service, or resell access without our written agreement. We may suspend an account that does.

Your organization retains ownership of everything it enters. We claim no license to use your governance records beyond what is needed to operate the service for you, and we do not use them to train models. You may export the full record as structured JSON at any time.

Plans are Pro, Plus, and Umbrella, billed monthly or annually. Every plan includes a 10-day free trial. A payment method is required to begin the trial; nothing is charged during it. Unless cancelled, the subscription begins automatically at the end of the trial and renews for successive periods until cancelled.

Umbrella accounts are billed for each additional organization. You may cancel at any time from the Admin area; access continues to the end of the period already paid for.

All payments are final. We do not issue refunds for partial billing periods, unused time, downgrades, or accounts that are cancelled mid-term. The 10-day free trial is the evaluation window — please use it to decide whether Secretarius suits your board before any charge is made.

Registered non-profits receive 40% off. Eligibility is claimed from within the application and confirmed by us. We may ask for documentation and may withdraw the discount if eligibility ends or cannot be substantiated. The discount applies to future invoices; it is not applied retroactively as a refund.

Committees and sub-boards are available on Plus and Umbrella. Add-on organizations are available on Umbrella. Upgrades, downgrades, and switches between monthly and annual billing are prorated. If a downgrade would exceed the new plan's limits, the administrator must resolve that first.

Where enabled, AI assistance produces draft text only. It never applies changes to approved or sealed minutes, and a human must accept anything it suggests. The organization's secretary remains the author of the record.

We work to keep the service available and to fix faults promptly, but the service is provided as is, without a guarantee of uninterrupted availability. We may add, change, or remove features. If we discontinue a material feature we will give account administrators reasonable notice by email. Support is by email at accounts@secretarius.pro.

You may cancel at any time. An administrator may permanently delete an organization or the entire account with a typed confirmation. Deletion is permanent and cannot be reversed, so export first if you want to keep the record. We may suspend or terminate an account for non-payment or for a breach of these terms.

Secretarius is a tool for keeping minutes and resolutions; it is not legal advice, and it does not certify that a meeting complied with your bylaws or with applicable law. Your organization remains responsible for the accuracy and adoption of its own record, and should keep its own exports.

To the extent permitted by law, our total liability arising from the service is limited to the amount paid for it in the twelve months before the claim. We are not liable for indirect, incidental, or consequential loss, including lost business or lost records where an export was available to you.

These terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. The courts located in Ashtabula County, Ohio have exclusive jurisdiction over any dispute arising from them.

You may not use Secretarius to:

• store or transmit unlawful, infringing, or knowingly false content;
• access, or attempt to access, another organization's records or another person's account;
• scan, probe, overload, or otherwise interfere with the service or its infrastructure;
• circumvent plan limits, billing, or access controls;
• scrape, mirror, or resell the service or its content;
• impersonate an officer or falsify the record of a meeting;
• upload malware or attempt to introduce it to other users.

If we change these terms materially, we will update the date above and notify account administrators by email. Continuing to use the service after that constitutes acceptance.
